1. Business use
KYDEXA KDS is offered primarily for business and hospitality operations. Commercial deployment is subject to an accepted quotation, order form or customer agreement defining the property, licensed capacity, integrations, onboarding and support scope.
2. Licence
Subject to payment and the applicable order, KYDEXA grants the customer a limited, non-exclusive, non-transferable right to use the licensed KYDEXA KDS software for the authorised installation, property and capacity during the licence term. Ownership of the software and underlying intellectual property is not transferred.
3. Licence types and capacity
KYDEXA is offered through 12-month subscriptions paid annually in advance, with temporary Demo/Trial access available after deployment review. Subscriptions are not perpetual licences. Commercial use requires an active subscription for the agreed term. Licence files may enforce installation identity and limits such as outlets, kitchens, printers or enabled modules. Attempts to bypass licensing or security controls are prohibited except to the extent mandatory law expressly permits otherwise.
4. Demo / trial
Demo/Trial licences are temporary and may be limited in capacity. Current standard demo durations are 7, 14 or 21 days. Trial availability and scope remain subject to deployment review.
5. Onboarding
Onboarding is a one-time implementation service. Within the agreed scope it may include deployment review, installation, initial configuration, outlets/kitchens/routing setup, integration testing and go-live validation. Work outside the accepted scope may require a separate quotation.
6. Customer responsibilities
- Provide suitable Windows hardware, network access and supported third-party systems.
- Maintain appropriate backups and access controls for the customer environment.
- Provide accurate technical information and reasonable access needed for agreed deployment/support work.
- Use only approved KYDEXA installation and upgrade packages.
- Protect credentials and do not bypass licence or security controls.
7. Third-party systems
Integration depends on third-party products, APIs, network availability and customer configuration. Third-party vendors may change their products or interfaces. KYDEXA will use reasonable technical efforts within the purchased scope but does not control third-party services.
8. Support
Standard technical support starts by emailing support@kydexa.com. KYDEXA reviews the ticket and available evidence and may schedule a remote/live technical session when it determines that one is required. Inbound telephone support is not part of the standard support model.
9. Updates and supported versions
KYDEXA may provide updates, upgrades, fixes or replacement builds according to the applicable support arrangement. Customers should not manually patch compiled runtime components or install unapproved build artifacts.
10. Fees, billing and taxes
Pricing, onboarding fees, billing cycle, payment due dates, VAT/taxes, currency and renewal terms will be specified in the applicable quotation/order. Public website pricing is indicative until accepted in writing. Payment conditions are specified in the accepted quotation/order.
11. Suspension and expiry
Where permitted by the customer agreement, an expired or invalid licence may prevent normal licensed KDS/POS operation while allowing designated administrative functions required for renewal or recovery. KYDEXA may suspend services for material breach or non-payment subject to the final agreement and applicable law.
12. Confidentiality and security
Each party should protect confidential technical and commercial information received from the other. Access credentials and confidential materials must be protected and used only for the agreed purposes.
13. Warranty and service limitations
Any contractual warranty, acceptance criteria, service availability commitment or SLA applies only if written in the applicable customer agreement. No website statement creates an SLA.
14. Liability
Any agreed liability cap, excluded loss categories and exceptions must be specified in the customer agreement. Nothing will exclude liability that cannot legally be excluded.
15. Renewal and end of term
Annual subscriptions do not renew automatically. A further year requires written acceptance and payment of the renewal quotation. KYDEXA aims to send a reminder approximately 30 days before expiry. The customer can communicate non-renewal at any time; no mandatory 30-day cancellation notice applies to this manually renewed arrangement. Non-renewal does not shorten the current paid term. Early termination, refunds, data handling and transition assistance are governed by the accepted agreement and applicable law.
16. Governing law
KYDEXA is established in Poland. The applicable law and dispute-resolution terms are specified in the customer agreement, subject to mandatory legal rights.
